Please read these Terms and Conditions of Use (“Terms”) carefully before enrolling in any of our diploma programs delivered through our official Learning Management System (“LMS”) or any other platforms. These Terms govern your access to and participation in the educational services (“Services”) offered by NEXX GROW LEARN LLP or GROW LEARN LLP (“we”, “us”, or “our”) having its registered office at NO 61/1008 A, 3rd FLOOR, ROYAL ENCLAVE, NEAR KURIAL LINE, CHEROOTY RD, Calicut Courts, Kozhikode, Kozhikode, Kerala, India, 673032.
These Services are made available through our online platform, including the web portal and any officially recognized mobile applications (collectively referred to as the “Platform”). For the purposes of these Terms, “you”, “your”, or “student” refers to any natural or legal person who visits the Platform, enrol in our programs, or participates in our courses as a registered user.
By accessing or enrolling in any course offered on the Platform, you agree to abide by these Terms. We may update these Terms of Use from time to time and will endeavour to notify you of such changes at the earliest. Please ensure you read our Terms of Use and any updated version thereof before proceeding to use the Platform or the Services, as the case maybe.

e. The course delivery method and technical requirements are detailed in Schedule – 2 of the Agreement. The Institution is not responsible for any disruptions caused by your failure to meet the required device or internet connectivity standards.
2. Rights and Responsibilities of the Institution
A. The Institution will have the right to:
• Modify, update, or replace study materials, including notes, worksheets, recordings, and presentations.
• Change or reassign tutors based on availability or academic needs.
• Change the Learning Management System (LMS) to enhance learning or operations.
• Modify internship providers, methodology, or deliverables to ensure relevance and quality.
• Suspend or revoke access in cases of non-payment, misconduct, or breach of agreement.
• Amend or make any changes to the assessment methodology, course structure, and timings.
• Set and enforce academic, attendance, assessment, and certification requirements.
• Take disciplinary actions, including warnings or admission termination, for misconduct or policy violations. • Retain full rights to all course content; sharing or reproduction without written consent is prohibited.
• Revise policies, including fees, refunds, and platform terms, with due notice to you.
• Provide access to course materials, live and recorded sessions, and assessments.
B. The Institution shall have the duty to:
• Provide access to the online platform, course materials, live and recorded sessions, and assessments.
• Engage qualified instructors and provide academic support.
• Grant certificate to you after successfully fulfilling all course requirements and the certificate will be provided only after 45 days from the date of course completion.
• Inform you promptly of any changes to course schedules, policies, or technical requirements.
3. Rights and Responsibilities of the Student A. You have the right to:
• Access all course content and participate in live and recorded sessions.
• Receive guidance from qualified instructors and seek assistance, clarifications and feedback from the institution.
• Receive the course and internship completion certificate.
• Be informed of any significant changes affecting your course, platform, or institutional policies.
• Have your personal data handled securely and confidentially.
• Raise concerns or complaints regarding course, institution or services through the designated grievance redressal mechanism.
B. You are expected to:
• Attend and actively participate in both live and recorded sessions and maintain consistent engagement throughout the course.
• Complete assignments and assessments honestly and independently without any plagiarism. • Make timely payments as per the agreed schedule.
• Use compatible devices and maintain a stable internet connection and use the Trainer Central application or other prescribed platforms as required for course participation.
• Respect instructors, staff, and fellow students, maintaining professional conduct at all times. This includes refraining from contacting tutors in person outside of official channels, misbehaving, or using abusive language.
• Comply with all institutional policies, including codes of conduct and academic integrity rules.
• Regularly check official communications from the institution for updates, announcements and other information.
4. Fees and Payment Terms
• The total tuition fee, payment schedule, and available payment methods are outlined in Schedule 3 of the agreement.
• A 10% discount applies if the full tuition fee is paid upfront at registration. This discount is at the Institution’s discretion and may be withdrawn prior to registration confirmation without any prior notice.
• No penalties or grace period for late payments; however, access to course materials and sessions will be suspended until all outstanding fees are paid.
5. Placement Support and Post-Placement Documentation
a. The Institution provides placement assistance to eligible candidates upon successful completion of their respective courses.
b. Placement support includes resume preparation, interview guidance, referral to employer networks, and participation in placement drives organized or facilitated by the Institution.
c. Once a student is successfully placed through the Institution’s support, the Institution will collect and display the student’s placement photo, along with details of the position, company name, and course completed, in the “Placed Students” section maintained by the Institution or in any official promotional material, print or digital.
d. The Candidate agrees that, by signing this Agreement, he/she provides full consent to the Institution to affix, publish, and use his/her photo and placement details (including name, designation, company, and course) for official records, reporting, and promotional purposes, without requiring any further approval. e. The Candidate also agrees that he/she will cooperate with the Institution in providing all necessary details and documentation required for placement verification and record maintenance.
6. Refund Policy
• Refunds, cancellations, and withdrawal terms are governed by the Institution’s refund policy, which shall be communicated separately.
• Policies may be updated or amended at the Institution’s discretion and shall be communicated to you.
7. Attendance, Conduct, and Academic Integrity
• You must maintain regular attendance and engagement throughout the course.
• Professional and respectful behaviour is required during all interactions.
• The use of abusive or disruptive language, sharing political or religious or unrelated or controversial content, or any behaviour that disrupts the learning environment is prohibited.
• Plagiarism and cheating are strictly forbidden. This includes copying code, assignments, or any academic work from others or external sources.
• Violations of academic integrity will lead to disciplinary action, including suspension or termination of enrolment, at the Institution’s discretion.
8. Cancellations and Rescheduling
• Your access may be suspended for non-payment and will resume only after dues are cleared.
• The Institution may cancel or reschedule classes due to unforeseen events, including but not limited to tutor illness, technical issues.
• At least 1 day’s prior notice will be given for planned rescheduling.
• In emergencies, same-day rescheduling notice may be provided.
• A maximum of 2 rescheduled class days per batch per week is allowed under normal circumstances.
8. Examinations and Certification
• Exams consist of multiple-choice questions designed to assess your understanding.
• Exam fees are included in the total tuition fee and cover up to two attempts. A third attempt requires payment of a re-examination fee of ₹1,000.
• Failure in the third attempt shall render you ineligible for further examinations under the current admission.
• An internship certificate will be issued only upon successful completion of the internship requirements.
• An exam certificate will be issued upon successful completion of the exam requirements.
• A course completion certificate will be awarded only after you successfully complete all exams and internship requirements.
• Exam policies may be updated or amended and shall be communicated to you in prior.
9. Access and Termination Access to course materials may be suspended or terminated for:
• Non-payment of fees (after a 10-day written notice provided prior to termination).
• Misconduct or violation of the Code of Conduct.
• Academic dishonesty, including plagiarism.
• Breach of the Institution’s intellectual property policies.
• Engagement in any unlawful or unethical behaviour.
• Any other material breach of the terms of the Agreement.
• Termination for serious misconduct may be immediate without prior notice.
• Termination does not relieve you of any outstanding financial obligations.
10. Communication and Support
• All communications shall be made only through WhatsApp, phone calls, email, or designated official apps/platforms. No other mode of communication shall be entertained.
• Support requests related to refunds, batch transfers, course discontinuation, access requests, certificates or corrections must be submitted via the official support email or designated institutional apps only.
• Subject-related queries or general institutional support should be directed to your assigned mentor through the approved communication channels.
• The Institution aims to respond within 48 working hours.
• Technical support is available at +91-9995108833. You are responsible for maintaining a functional device and internet connection.
11. Intellectual Property and Confidentiality
• All course materials are the exclusive property of the Institution and protected by Copyright and Intellectual Property Laws.
• You must not share, reproduce, or distribute course content without prior written consent.
• Confidential information provided during the course must be kept confidential during and after course completion.
12. Plagiarism and Cheating
• Plagiarism includes the use or submission of work not originally created by you, including copying code from peers, instructors, or external sources.
• Passing off other’s work as one’s own, even with understanding, is considered plagiarism.
• Sharing your work/code for others to use (“Code Giver”) is also considered plagiarism.
• All submitted code must be original and written by the you from scratch.
• If suspected of plagiarism (as Code Giver or Receiver), your access may be suspended pending review.
• You will be given an opportunity to present your case before the Disciplinary Committee of the Institution.
• The Committee’s decision shall be final and binding.
• If found guilty, you may face penalties including: a) Termination from the course b) Suspension c) Placement ban for a defined period
13. Dispute Resolution
• Any disputes will first be attempted to be resolved amicably through mutual discussions.
• If unresolved, disputes will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
• The governing law is that of India, and jurisdiction lies exclusively with courts in Calicut.
14. Miscellaneous
• This document, along with all schedules and annexures, constitutes the entire agreement between you and the Institution.
• No waiver of any term shall be effective unless in writing.
• The Institution may update policies and terms with due notice.
15. Acceptance of Terms and Conditions By signing this, I acknowledge and agrees that:
a. I have read, understood, and accepted all the Terms and Conditions put forward.
b. I have attained the age of 18 years.
c. I am entering into this Agreement voluntarily and with full knowledge of the rights and obligations.
d. I have had the opportunity to seek independent advice regarding this and no representations or promises have been made outside the terms contained herein.
e. I agree to comply fully with all institutional policies, academic requirements, payment terms, and codes of conduct described in this Agreement.
f. I understand that failure to comply with these Terms and Conditions may result in suspension or termination of my access to the course and other consequences as detailed herein.
g. I understand that this shall become effective from the date you accept the Terms of Use and shall remain in force until the completion of the course, including all assessments, internship requirements, and the issuance of the final certificate, unless terminated earlier in accordance with these Terms.
